1. Agreement to Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Heirloom ("we," "us," or "our"), concerning your access to and use of the Heirloom website and platform (collectively, the "Service"). By accessing the Service, you agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.
2. Description of Service
Heirloom provides a platform for users to record, preserve, and share personal and family stories via voice and text. The Service includes features such as guided prompts, audio recording, automated transcription, story organization, and sharing capabilities (including \"Circles\").
3. User Accounts & Registration
- Eligibility: You must be at least 13 years old to use the Service.
- Account Responsibility: You are responsible for safeguarding your password and for any activities or actions under your password. You agree not to disclose your password to any third party.
- Accuracy of Information: You agree to provide accurate and complete information during registration and to keep it current.
- Account Suspension: We reserve the right to suspend or terminate your account if we suspect fraudulent, abusive, or illegal activity.
4. User-Generated Content
4.1 Ownership
You retain all ownership rights to the stories, audio recordings, text, images, and other content you submit to the Service ("User Content").
4.2 License to Heirloom
By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, transcode (including AI transcription), and display such content solely for the purpose of providing and improving the Service. We will never sell your stories or make them public without your explicit action (like creating a shareable link).
4.3 Content Restrictions
You agree not to upload or share content that:
- Is illegal, defamatory, or threatening.
- Infringes on the intellectual property rights of others.
- Contains viruses or malicious code.
- Involves recording someone without their legally required consent.
5. Acceptable Use
When using the Service, you agree not to:
- Attempt to gain unauthorized access to the Service or related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer or access the Service in order to build a competitive product.
- Use the Service to transmit unsolicited commercial communications (spam).
6. Third-Party Services
The Service utilizes third-party providers (e.g., Supabase, OpenAI) for core functionality like database hosting and transcription. Your use of the Service is subject to the continuous availability of these third-party services. We are not responsible for outages or issues originating from these third parties.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
8. Limitation of Liability
IN NO EVENT WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST DATA (INCLUDING LOSS OF STORIES OR RECORDINGS), OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your User Content, your use of the Service, or your breach of these Terms.
10. Governing Law
These Terms shall be governed by and defined following the laws of the jurisdiction in which Heirloom is established. Both parties agree to submit to the exclusive jurisdiction of the state courts located in said jurisdiction to resolve any dispute arising out of these Terms.
11. Changes to Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you about any changes by updating the "Last updated" date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates.
